These Terms of Service ("Terms") govern your access to and use of the website geocite22.com (the "Site"), the GeoCite22 WordPress plugin in its free and paid versions (the "Plugin"), and any related services (collectively, the "Services") provided by:

(the "Provider", "we", "us" or "our")
By using the Services, the user ("User", "Customer" or "you") confirms that you have read, understood and agree to these Terms in full. If you do not accept these Terms, do not install the Plugin and do not place any orders.
These Terms are translated from the original Italian version for convenience. In the event of conflict, the Italian version shall prevail for legal interpretation.
1. Definitions
- Free Plugin: the free version of the Plugin distributed via the official WordPress.org repository and/or the Site, under the GPLv2 (or later) license.
- Premium Plugin / Premium Features: modules, extensions or additional functionalities unlockable through a paid License.
- License: the right to use the Premium Features commercially on one or more WordPress sites, within the limits of the subscribed plan.
- BYO API Key ("Bring Your Own API Key"): the operating mode in which the User supplies their own API keys for third-party AI providers (e.g. OpenAI, Anthropic, Google) and AI requests are made directly from the User's WordPress site to those providers, without intermediation by the Provider.
- GeoCite22 Credits: prepaid units that may be made available to enable AI features when the User does not use their own API keys. Specific technical details of any optional gateway are described in the Privacy Notice.
- Subscription: the recurring payment (monthly or yearly) that automatically renews the License.
- Account: the personal area created on the Site to manage Licenses, invoices and Credits.
2. Subject and description of the Services
The Plugin is a WordPress tool intended to optimize content for AI engines and assistants (Generative Engine Optimization), as well as to generate, cite and manage content using AI models.
The Plugin is offered in two forms:
- Free Plugin: distributed free of charge under the open-source GPLv2 (or later) license. Use is subject to the terms of that public license.
- Premium Plugin: includes additional features unlockable through the purchase of a paid License. Premium Features may include, by way of example: integration with AI providers via BYO API Key, automated SEO/GEO tasks, advanced dashboards, analytics modules, priority support.
AI features may be used, at the User's choice, in BYO API Key mode (recommended) or, where available, through GeoCite22 Credits.
The Provider reserves the right to modify, supplement or discontinue individual features at any time, with reasonable notice to the User.
3. Account registration
To purchase a License, the User must create an Account by providing truthful, complete and up-to-date information. The User is responsible for keeping credentials confidential and for any activity carried out via the Account.
The User must be at least 18 years old and legally capable of entering into contracts. For purchases made on behalf of a company or legal entity, the registering user represents that they have authority to do so.
4. Licenses and subscription plans
4.1 License types
Annual and monthly Licenses are available, with prices and features described on the Site's pricing pages. Annual Licenses may be discounted compared to their monthly equivalents; the total discount and any minimum commitment will be shown at the time of purchase.
Each License is associated with a maximum number of WordPress sites on which Premium Features can be activated. Exceeding that limit requires upgrading to a higher License.
4.2 Credits for AI features
Where offered, GeoCite22 Credits are prepaid bundles of consumption units. Credits:
- do not constitute electronic money or a payment instrument;
- are not refundable beyond the limits set out in section 7 (Right of Withdrawal) and applicable law;
- may have an expiration date expressly indicated at the time of purchase;
- may be consumed at variable rates depending on the AI model selected and the actual cost of the third-party provider.
4.3 Automatic renewal
Unless otherwise specified, Subscriptions automatically renew at the end of each period (monthly or yearly) by charging the registered payment method. The User will receive notice of upcoming annual renewals at least 15 days before the charge date.
The User may disable automatic renewal at any time from the Account or by contacting support. Cancellation takes effect at the end of the period already paid for, with no pro-rata refund except as provided in section 7.
4.4 Price changes
Prices may change for new purchases at any time. For active Subscriptions, any price change applicable upon renewal will be notified at least 30 days in advance; the User may disable renewal before the indicated date.
5. License grant (EULA)
5.1 Free Plugin
The Free Plugin is released under the GPLv2 license (or later). The User may freely use, modify and redistribute it under that license.
5.2 Premium Features
For the Premium Features and related materials (logos, documentation, Site content, activation keys), the Provider grants the User a License that is:
- non-exclusive;
- non-transferable;
- non-sublicensable;
- limited to the number of sites allowed by the plan;
- valid only during the active Subscription period;
- intended for the User's internal use of the Plugin on their own sites or, where the User is an agency, on its end clients' sites within the plan limits.
The User shall not:
- resell, distribute or transfer activation keys to third parties;
- reverse engineer, decompile or disassemble Premium modules beyond what is permitted by law;
- use the Plugin for unlawful, abusive, spam-related activities, or to generate content that infringes third-party rights;
- circumvent License or Credit protection mechanisms;
- use the Plugin to create a competing service.
All intellectual property rights in the Services remain with the Provider or their respective owners.
6. Payments
Payments are processed through Stripe Payments Europe Ltd. (and/or other processors indicated at checkout). The User warrants that they are entitled to use the payment instrument supplied.
All prices on the Site are stated in Euro (EUR) or in the currency shown at checkout. Unless otherwise stated, prices exclude applicable taxes. For EU consumers, prices displayed at checkout include VAT due in the country of residence under MOSS/OSS rules. For EU business customers with a valid VIES VAT ID, the reverse charge mechanism applies. For non-EU customers, local taxes are the User's responsibility.
If a payment fails, the Provider may immediately suspend Premium Features and Credits, after attempting re-charge in accordance with Stripe's policies.
7. Right of withdrawal (EU consumers)
7.1 Standard right of withdrawal
If the User is a consumer resident in the European Union, under Italian Legislative Decree 206/2005 (Consumer Code) and Directive 2011/83/EU, you have the right to withdraw from the contract within 14 days of conclusion, without giving any reason.
To exercise this right, simply send an explicit communication to support@geocite22.com, indicating the order number. The withdrawal form attached in Annex A may be used.
7.2 Exception: digital content and early performance
As the Services consist of digital content not delivered on a tangible medium and software licenses activated immediately, the User who requests to use Premium Features and/or GeoCite22 Credits before the 14-day period expires:
- expressly acknowledges that, once performance has begun, the right of withdrawal is lost (article 59(1)(o) of Italian Legislative Decree 206/2005);
- alternatively, may wait until the 14-day period elapses before activation.
Such consent is collected at checkout via a dedicated checkbox.
7.3 Consumed Credits
In the case of an admissible withdrawal, any refund will take into account GeoCite22 Credits actually consumed and activation costs incurred, on a pro-rata basis.
7.4 Refunds
Refunds are made through the same payment instrument used for the purchase, within 14 days of receipt of a valid request.
8. AI features and responsible use
8.1 BYO API Key
The Plugin's AI features primarily operate in BYO API Key mode. This means:
- the User supplies their own API keys for third-party providers (e.g. OpenAI, Anthropic, Google);
- AI requests are made directly from the User's WordPress site to those providers;
- the Provider has no access to prompts, content sent or generated responses;
- the User is solely responsible for the contractual relationship with AI providers, related costs, compliance with the provider's terms and applicable law.
The User must keep their API keys secure. The Provider declines any liability for unauthorized use of API keys due to factors outside its infrastructure.
8.2 GeoCite22 Credits (optional gateway)
Where the Provider makes a Credits gateway available, AI requests may transit through Provider-managed servers solely for License authentication, Credit deduction and request forwarding to the third-party provider. Data processing arrangements for that gateway are described in the Privacy Notice available at https://geocite22.com/privacy.
8.3 AI output disclaimer
Output produced by AI models is generated statistically and may contain errors, inaccuracies, omissions, inappropriate content or non-existent references ("hallucinations"). The User:
- agrees to verify the accuracy and suitability of any content before publication;
- is solely responsible for content published on their sites, even if generated with the Plugin's assistance;
- acknowledges that the Provider does not warrant accuracy, truthfulness, currency, non-infringement of third-party rights or fitness for a particular purpose of AI outputs.
8.4 Acceptable use
The User shall not use AI features to generate content that is:
- unlawful, defamatory, offensive, discriminatory or hate-inciting;
- a reproduction of copyrighted works without permission;
- sexually explicit material involving minors;
- malware, exploit code or phishing tooling;
- in breach of the underlying AI provider's terms.
The Provider reserves the right to suspend or terminate the License for serious breaches, with or without notice.
9. Warranties and limitation of liability
9.1 Statutory warranties
For consumers, mandatory statutory warranties under applicable law are unaffected.
9.2 "As-is" disclaimer
Subject to the above, the Services are provided "as is" and "as available", with no further express or implied warranties of uninterrupted operation, error-freeness, fitness for a particular purpose or compatibility with any third-party setup (themes, plugins, hosting).
9.3 Limitation of liability
To the maximum extent permitted by law, the Provider shall not be liable for:
- indirect, consequential damages, loss of profits, loss of reputation, loss of data;
- damages arising from AI-generated content created with the Plugin;
- damages arising from third-party AI providers, Stripe or other vendors being unavailable or malfunctioning;
- improper use of the Plugin, misconfiguration, conflicts with other plugins/themes.
In any event, the Provider's aggregate liability to the User for any dispute shall not exceed the amount actually paid by the User in the 12 months preceding the event giving rise to the claim.
These limitations do not apply in cases of willful misconduct or gross negligence by the Provider, nor to liabilities mandatorily imposed on the Provider by Italian or European law (including, where applicable, consumer-protection rights).
10. Indemnification (business customers)
If the User is not a consumer, the User agrees to indemnify and hold the Provider harmless from third-party claims arising out of: (a) breach of these Terms; (b) content published on the User's sites generated using the Plugin; (c) infringement of third-party rights through the use of the Plugin; (d) breach of AI provider terms in connection with BYO API Key use.
11. Suspension and termination
The Provider may suspend or terminate the License in case of:
- non-payment;
- breach of the Terms, including improper sharing of activation keys;
- fraudulent, abusive or unlawful use of the Services;
- requests from public authorities.
Upon termination, the User must cease using Premium Features. Unused Credits may expire unless otherwise indicated, subject to applicable refund rights.
The User may stop using the Services at any time by uninstalling the Plugin and disabling automatic renewal.
12. Changes to the Terms
The Provider may update the Terms for legal, technical or commercial reasons. For non-material changes, the new version takes effect upon publication on the Site. For material changes affecting the User's rights significantly, notice will be sent by email at least 30 days in advance; continued use after the effective date constitutes acceptance. If not accepted, the User may terminate and obtain a pro-rata refund of the unused portion.
13. Communications
The Provider's communications to the User are made to the registered email. The User's communications to the Provider are to be sent to support@geocite22.com.
14. Force majeure
The Provider is not liable for delays or failures due to force majeure (natural events, acts of authorities, large-scale cyberattacks, disruption of essential third-party services, etc.).
15. Assignment
The User may not assign these Terms or the License to third parties without the Provider's written consent. The Provider may assign the contract to its group companies or in connection with corporate transactions (mergers, acquisitions, business sales), with notice to the User.
16. Dispute resolution
16.1 Informal complaint
In case of dispute, the User is invited to first contact support@geocite22.com for an amicable settlement.
16.2 Mediation and ODR
For EU consumers, the European Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.
16.3 Governing law and venue
These Terms are governed by Italian law. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the Court of Massa, Italy.
For EU consumers, the mandatory jurisdiction of the consumer's place of residence/domicile under applicable law remains unaffected.
17. Final provisions
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. A failure by the Provider to exercise a right does not constitute a waiver.
These Terms, together with the Privacy Notice and the Cookie Policy, constitute the entire agreement between the parties in respect of the Services.
